Terms of Service

These terms govern your use of this website and of the Trade Node platform. The commercial specifics of a subscription — fees, term, deployment model, support levels — are set out in the order form or agreement signed with your business; if that agreement conflicts with these terms, the agreement prevails.
Acceptance
By using this website or the platform you accept these terms. If you use the platform on behalf of a business, you confirm you are authorised to bind that business.
The service
Trade Node is a business-to-business platform for trade operations: rates, orders, credit control, dispatch, GST billing, inventory, payroll, books of account and related modules. It is provided to businesses; individual users access it through accounts authorised by their business’s administrator.
Accounts and responsibilities
You are responsible for keeping credentials confidential and for all activity under your account. Provide accurate information, use the roles and permissions assigned to you, and do not share logins. The business administrator is responsible for granting and revoking access for its staff, dealers and customers, including timely offboarding.
Customer data and ownership
The business owns the records it and its users enter into Trade Node. It grants us the limited licence needed to host and process that data in order to provide the service. The business is responsible for the lawfulness of the data it enters — for example, employee information used in payroll.
Acceptable use
You must not:
- use the service for unlawful purposes or to store or transmit infringing or harmful material;
- interfere with or disrupt the service, or attempt to access another business’s data;
- probe, scan or test the vulnerability of the service without written permission;
- reverse engineer, scrape or resell the service except as permitted by law or by written agreement.
Fees and taxes
Fees are as agreed in your proposal or order form. Applicable taxes, including GST, are additional unless stated otherwise. We may suspend the service for non-payment after reasonable notice.
Statutory compliance remains yours
Trade Node helps you keep accurate records — GST-compliant invoices, books of account, attendance and payroll registers — but the business remains responsible for its statutory obligations: filing returns, e-invoicing and e-way bill compliance, payroll statutes and the accuracy of data entered. Platform outputs depend on the data and configuration your team maintains.
Availability, support and changes
We make reasonable efforts to keep hosted deployments available, with maintenance windows and continuous improvement of features. On self-hosted deployments, the customer is responsible for server operations, backups and network security. We may modify features over time provided the core service is not materially degraded during a paid term.
Intellectual property
The platform, its code, design and branding remain the property of Genisys and its technology partners, including GNX AI. No rights are granted except the right to use the service under these terms. If you send us feedback or suggestions, we may use them without obligation.
Term, suspension and exit
We may suspend or terminate access for material breach of these terms or non-payment, after reasonable notice where practicable. On termination or expiry, we provide a reasonable window for the business to export its data using the platform’s built-in reports, statements and exports.
Disclaimers and limitation of liability
To the maximum extent permitted by law, the service is provided "as is" and we disclaim implied warranties. Neither party is liable for indirect or consequential loss. Our aggregate liability arising out of the service is limited to the fees paid by the business for the service in the twelve months preceding the claim. Nothing in these terms limits liability that cannot be limited under applicable law.
Indemnity
The business will indemnify us against third-party claims arising from data it enters unlawfully or from use of the service in breach of these terms.
Governing law and disputes
These terms are governed by the laws of India. The parties will first attempt to resolve disputes in good faith; failing that, courts having jurisdiction at the registered office of Genisys in India will have exclusive jurisdiction.
Changes to these terms
We may update these terms from time to time. Continued use of the website or platform after an update constitutes acceptance. Material changes affecting a paid subscription will be notified to the business.
